These Terms & Conditions ("Terms") govern your access to and use of ncompastechnology.com (the "Site"), operated by NCompas Technology Solutions Inc. ("NCompas," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Use of the Site

You may use the Site for lawful business purposes, including learning about our services, engaging our team, and applying for open roles. You agree not to:

• Use the Site in any way that violates applicable law or regulation
• Attempt to gain unauthorized access to any portion of the Site, our systems, or any connected network
• Interfere with or disrupt Site availability, security, or integrity
• Reverse engineer, scrape, or systematically extract data from the Site
• Transmit malware, spam, or other harmful content through Site forms or channels

2. Intellectual Property

The Site — including its design, text, graphics, logos, icons, images, videos, case study copy, product names (including IntelliAssess, SectorAgents, and VibeAssist), and the selection and arrangement of all content — is the property of NCompas or its licensors and is protected by United States and international intellectual property laws.

You may view and print pages from the Site for your own personal, non-commercial reference. Any other use — including reproduction, modification, distribution, republication, or public display — requires our prior written permission.

3. Client Engagements

These Terms apply to your use of the Site only. Any engagement for professional services from NCompas is governed by a separate written agreement (e.g., Master Services Agreement and applicable Statement of Work) signed by both parties. Nothing on the Site constitutes a binding offer to provide services.

4. Content You Submit

When you submit information through a form on the Site (e.g., a contact request, discovery call booking, or job application), you represent that the information is accurate and that you have the authority to submit it. You grant NCompas a limited, non-exclusive license to use the information for the purpose for which it was submitted, in accordance with our Privacy Policy.

5. Third-Party Services and Links

The Site may reference or link to third-party products, services, or websites (including Microsoft Azure, Databricks, and other partner platforms). NCompas does not endorse, control, or assume responsibility for third-party content, services, or availability. Your use of any third-party resource is subject to that third party's own terms.

6. Disclaimers

The Site and all content are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, NCompas disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on the Site is complete or current.

Information on the Site is provided for general informational purposes only and does not constitute professional, legal, or financial advice.

7. Limitation of Liability

To the fullest extent permitted by law, NCompas and its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Site — even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or related to the Site shall not exceed one hundred U.S. dollars (USD 100).

8. Indemnification

You agree to indemnify and hold harmless NCompas and its affiliates from any claim, liability, loss, damage, or expense (including reasonable attorneys' fees) arising out of your use of the Site in violation of these Terms or applicable law.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Cuyahoga County, Ohio, and you consent to the personal jurisdiction of those courts.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms.

11. Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections intended to survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — shall continue to apply.
